TownVue Terms of Service

Welcome to TownVue. These Terms of Service ("Terms") govern your access to and use of the TownVue website, services, and features (collectively, the "Platform"). By accessing or using TownVue, you agree to be bound by these Terms.
If you do not agree, do not use the Platform.
1. About TownVue
TownVue is a community-focused platform designed to help people discover and share local businesses, events, experiences, and items for sale. TownVue is not a marketplace intermediary, broker, or agent. We provide the platform; users are responsible for their listings and interactions.
2. Eligibility
You must be at least 18 years old to create an account or post listings on TownVue.
By using the Platform, you represent that:
- You are legally able to enter into these Terms
- Information you provide is accurate and truthful
- You will comply with all applicable laws and regulations
3. User Accounts
To access certain features, you must create an account.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring your account information remains accurate and up to date
TownVue is not responsible for unauthorized access caused by your failure to secure your credentials.
4. Listings and Content
a. User-Generated Content
You may post content including:
- Business listings
- Events
- Experiences
- Items for sale (The Trading Post)
- Images, descriptions, and pricing
You retain ownership of your content. By posting content on TownVue, you grant us a non-exclusive, royalty-free, worldwide license to display, host, and distribute your content solely for operating and promoting the Platform.
b. Accuracy and Responsibility
You are solely responsible for:
- The accuracy of your listings
- Pricing, availability, and descriptions
- Compliance with local, state, and federal laws
- Any transactions or agreements made as a result of your listing
- Users listing regulated items, including firearms, represent and warrant that they are legally permitted to advertise, offer, sell, and transfer such items and that all resulting transactions will comply with applicable federal, state, and local law. TownVue does not verify compliance, licensure, eligibility, or legality of any regulated item listing and relies solely on user representations.
TownVue does not verify listings and does not guarantee outcomes.
5. Prohibited Content and Conduct
You may not post or engage in content or conduct that:
- Is illegal, fraudulent, or misleading
- Violates intellectual property rights
- Contains hate speech, harassment, or threats
- Is obscene, defamatory, or abusive
- Attempts to manipulate visibility or rankings
- Circumvents pricing, payment, or subscription systems
- Uses bots, scraping, or automated posting
Trading Post Restrictions
The Trading Post is strictly for items being sold. No services, "wanted" ads, or prohibited items are allowed.
Users are solely responsible for ensuring that any item listed complies with all applicable laws.
TownVue reserves the right to remove or moderate content at its discretion.
Firearms Listings
TownVue permits the listing of firearms where lawful; however:
- TownVue is not a party to any firearm transaction.
- TownVue does not verify the legality of any listing.
- TownVue does not verify the identity or eligibility of buyers or sellers.
- TownVue does not conduct background checks.
- TownVue does not process payments.
- TownVue does not arrange, broker, or facilitate transfer or shipping.
- TownVue does not provide legal advice.
Users assume all legal responsibility for compliance with applicable law, including background checks, prohibited person restrictions, licensing requirements, and lawful transfer procedures.
Prohibited Firearm-Related Listings
The following items may not be listed on TownVue:
- Fully automatic firearms
- Machine guns
- Conversion devices (including auto sears or similar components)
- Explosive devices or destructive devices
- Suppressors or silencers where prohibited by law
- Short-barreled rifles or short-barreled shotguns where prohibited by law
- Ammunition where prohibited by law
- Firearms with altered, removed, or defaced serial numbers
- Any firearm or weapon prohibited under federal, state, or local law
TownVue reserves the right to remove any listing it determines, in its sole discretion, may violate applicable law or pose a safety risk.
6. Subscriptions and Payments
Some features require payment, including business listings, events, and experiences.
- All subscriptions are billed on a recurring basis unless cancelled
- Pricing is displayed clearly before purchase
- Subscriptions may be changed or cancelled at any time
- Fees are non-refundable except where required by law
Failure to maintain payment may result in suspension or removal of listings.
7. Fair Visibility Policy
TownVue does not use hidden algorithms to suppress or artificially promote listings.
Listings are displayed based on:
- User-selected filters
- Categories
- Location (ZIP code)
- Chronological or clearly defined sorting methods
TownVue reserves the right to improve user experience while maintaining transparency.
8. Reporting and Moderation
Users may report content believed to be inappropriate, fraudulent, or in violation of these Terms.
TownVue may:
- Investigate reports
- Remove or restrict content
- Suspend or terminate accounts
We are not obligated to act on every report but take community trust seriously.
9. Account Suspension and Termination
TownVue may suspend or terminate accounts if:
- These Terms are violated
- Content is abusive, illegal, or misleading
- Payment obligations are not met
- Platform integrity or user safety is threatened
You may terminate your account at any time by contacting support.
10. Disclaimers
TownVue is provided "as is" and "as available."
We do not guarantee:
- Accuracy of listings
- Availability of services or events
- Outcomes of transactions or interactions
TownVue is not responsible for disputes, damages, or losses between users.
11. Limitation of Liability
To the fullest extent permitted by law, TownVue shall not be liable for:
- Any injury, death, property damage, or other harm arising from or related to items listed on the Platform, including firearms;
- Any unlawful sale, transfer, possession, or misuse of any item listed;
- Any disputes between users;
- Any indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, data, goodwill, or business interruption.
TownVue’s total cumulative liability, if any, shall not exceed the greater of (a) $100 or (b) the amount paid by you to TownVue in the twelve (12) months preceding the claim.
Your sole remedy is to discontinue use of the Platform.
12. Indemnification
You agree to indemnify, defend, and hold harmless TownVue, its owners, officers, directors, employees, contractors, and affiliates from and against any and all claims, demands, causes of action, damages, liabilities, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Platform
- Your listings or content
- Any transaction resulting from your listing
- Your violation of these Terms or applicable law
- The sale, transfer, possession, or use of any regulated item, including firearms.
13. Binding Arbitration; Class Action Waiver; Jury Trial Waiver
Please read this section carefully. It affects your legal rights and requires most disputes to be resolved through binding arbitration on an individual basis.
a. Agreement to Arbitrate
You and TownVue agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any listing or transaction, or your relationship with TownVue (each, a "Dispute") will be resolved by final and binding arbitration, rather than in court, except as expressly provided below.
This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and survives termination of these Terms and your use of the Platform.
b. Exceptions
Either party may bring a Dispute in small claims court if the Dispute qualifies and remains in small claims court. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or unauthorized access to the Platform.
c. Arbitration Procedures
The arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules, as modified by these Terms. Unless you and TownVue agree otherwise, the arbitration will be conducted by telephone, video conference, or based solely on written submissions.
The arbitrator may award the same damages and relief as a court, but only to the extent necessary to resolve the individual Dispute. The arbitrator may not award relief for or against anyone who is not a party to the arbitration.
d. Class Action Waiver; Representative Actions Waiver
You and TownVue agree that each may bring claims against the other only in your or its individual capacity. To the fullest extent permitted by law, you and TownVue waive any right to bring or participate in any Dispute as a plaintiff or class member in any purported class, collective, coordinated, consolidated, or representative proceeding, including class arbitration.
The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class, collective, coordinated, consolidated, or representative proceeding.
e. Jury Trial Waiver
You and TownVue knowingly and irrevocably waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Platform to the fullest extent permitted by law.
f. Opt-Out
You may opt out of this arbitration agreement by sending written notice to support@townvue.com within 30 days of the date you first accept these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provisions of these Terms.
g. Severability
If any part of this section is found unenforceable, the remainder will remain in effect. If the class action waiver is found unenforceable, then the entire arbitration section (except this sentence) will be null and void.
Pre-Arbitration Notice and Informal Resolution
Before initiating arbitration, you agree to first provide TownVue with a written Notice of Dispute describing the nature of the claim and the relief sought. The Notice must be sent via email to support@townvue.com with the subject line "Notice of Dispute."
The parties agree to attempt in good faith to resolve the dispute informally for a period of thirty (30) days from the date the Notice of Dispute is received. Arbitration may not be commenced until this 30-day period has expired. Compliance with this informal resolution process is a condition precedent to initiating arbitration.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date.
Continued use of TownVue constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.
